3.                  OFFICERS

3.1              The Diamond Springs/ El Dorado Firefighters Association Executive Board of Directors (E-Board) will consist of the following ten members:

 

President/ Chairman of the Board

Vice President

Secretary*

Treasurer*

Sergeant at Arms

Four Directors

Immediate Past President

 

*Secretary and Treasurer may be the same person.

3.2              Officers’ Duties

3.2.1        Executive Board of Directors: The E-Board shall be responsible, through its officers, for the execution of the Policies and Procedures of the Association.  New business will be brought to the E-Board for discussion before coming to an Association meeting.  Ideas or requests may be submitted in writing or in person to the E-Board.  Business of the Association shall be conducted and approved by the E-Board for presentation to the Association members at a regular meeting.

3.2.1.1            The E-Board authorizes expenditures within the budget and ensures that no indebtedness is incurred beyond the income of the Association.

3.2.1.2            The E-Board shall have the books and accounts reviewed annually prior to the first E-Board meeting of the fiscal year. (The fiscal year is
    January through December.)

3.2.1.3            The E-Board, by majority vote, shall have the power to overrule or modify the action of any officer of the Association.

3.2.1.4            The E-Board shall have the authority to call any special meeting considered necessary.

3.2.2        President:  The President shall be the Chief Executive Officer of the Association.  The President shall preside at all meetings and shall be Chairperson of the Executive Board and shall act as the liaison officer between the Association and the District.  The President shall appoint the standing and activity committees, and shall act as an ex-officio member of each of these committees. The President shall see that these committees perform the function for which they were enacted. The President shall see that regular elections are held in accordance with the by-laws and Policies and Procedures of the Association. The president shall vote only to break a tie.

3.2.3        Vice President: The Vice President shall succeed the President and shall substitute for the President in case of absence or vacancy.  The Vice President shall, under the direction of the President, oversee the functioning of such committees as the President may designate. 

3.2.4        Treasurer:  The Treasurer shall serve at the direction of the E Board.  Treasurer shall keep the Association financial records, receive Association funds, handle transactions as directed and give financial reports to the membership at the monthly Association meetings.  The Treasurer shall ensure that all official forms, reports and applications are submitted to the proper agencies.  The Treasurer shall submit a preliminary budget at the November meeting.  The Treasurer is authorized to transfer funds from savings to checking as needed.  The Treasurer is to invest any excess funds in an interest bearing account approved by the E-Board (e.g. money market account or short term CD).

3.2.5        Secretary:  Secretary shall serve at the direction of the President.  The Secretary shall keep minutes of the Association and E-Board meetings and shall present those minutes at the monthly Association meeting. The Secretary shall maintain a list of membership and attendance records. The Secretary shall annually report attendance records to the E-Board.  The Secretary shall also keep a record of ongoing committees and publish a calendar of committee meetings on a monthly basis. 

3.2.6        Sergeant at Arms:  The Sergeant at Arms shall ensure that all required items are in place prior to the start of the meeting (i.e. gavel, flag, etc.), shall distribute meeting materials, ensure that all members and guests are properly seated, assist the president in meeting activities and maintain order during the meeting. The Sergeant at Arms is responsible for inventory and maintenance of all Association equipment and property except real property.

3.2.7        Four Directors :  At large members of the E-Board.

3.2.8        The Immediate Past President: The Immediate Past President shall serve as a member of the E-Board.  The Immediate Past President shall act as host to visitors and be responsible for contacting members in time of sickness or need.  The Immediate Past President acts as chairman of the nomination committee for the following term. 

3.3              Officers’ Length of Term

3.3.1        The officers will serve a one-year term.  The Vice President will become the President; the Immediate Past President will serve for the year following their term as President, and the four additional Directors will serve a two-year term.

3.3.2        The additional Board members' terms shall be staggered so two members are elected every year.
